Terms & Conditions of Sale

Effective Date: May 8, 2025

Applicable To: All purchases of NodeX hardware or software products via https://ainx.io

Payment Method: USDT (Tether) from user-owned crypto wallets

These Terms & Conditions (“Terms”) govern the sale of NodeX products (“Products”) by AINX Inc., a Delaware corporation (“AINX,” “we,” “us,” or “our**”), through the website https://ainx.io (the “Site”). By submitting payment, you (“Customer” or “you”) agree to be bound by these Terms.

1. Product Orders

1.1 Order Submission

All product orders placed through AINX.io are offers by you to purchase our Products under these Terms. Orders are not binding until accepted by AINX.

1.2 Product Availability

Availability is limited. Orders are accepted on a first-paid, first-served basis. AINX reserves the right to reject or cancel any order prior to shipment or delivery.

2. Cryptocurrency Payment (USDT)

2.1 Accepted Payment

We accept USDT (Tether) as payment, on supported blockchain networks (e.g., Ethereum, Solana, BNB Chain). The applicable network will be displayed at checkout.

2.2 Wallet Responsibility

You are responsible for:

  • Sending the exact amount to the correct wallet address
  • Including correct gas/network fees
  • Using only supported networks

AINX is not liable for lost funds due to network mismatch, gas fee underpayment, or mistyped wallet addresses.

2.3 Payment Confirmation

Orders are not confirmed until:

  • Full USDT amount is received in our wallet
  • Blockchain transaction is finalized with sufficient confirmations

Once confirmed, you will receive an email receipt or on-screen confirmation. Do not refresh or leave the checkout screen until confirmation is shown.

3. Finality of Crypto Payments

3.1 No Reversals

Cryptocurrency payments are irreversible. AINX does not offer chargebacks, reversals, or cancellations once payment is received and confirmed on-chain.

3.2 Incorrect Amounts

Payments made with incorrect amounts (over or under) may be refunded at our sole discretion, minus gas and handling fees.

4. Pricing, Taxes & Duties

4.1 Pricing

All prices are in USDT. The final payable amount is locked in at checkout. Pricing may change without notice before payment is submitted.

4.2 Taxes

Prices do not include any local sales tax, VAT, customs duties, or import taxes. You are solely responsible for such charges. AINX will not declare lower values on customs forms unless required by law.

5. Shipping & Delivery

5.1 Delivery Timeline

We strive to ship within the estimated lead time shown at checkout, but delivery dates are not guaranteed.

5.2 Risk of Loss

Title and risk of loss pass to you upon delivery to the shipping carrier. Once shipped, AINX is not responsible for loss, damage, or delay in transit.

5.3 Shipping Regions

You are responsible for ensuring your country permits importation of the Products. AINX is not responsible for failed delivery due to import restrictions.

6. Returns, Refunds & Cancellations

6.1 Final Sale

All purchases are final and non-refundable once payment is confirmed.

6.2 Exceptions

AINX may, at its discretion, allow refunds or cancellations in the following cases:

  • Duplicate payment for the same order
  • Order made with payment errors or technical failure
  • Product defect (see Section 7)

Refunds, if approved, will be returned in USDT to the original wallet minus any applicable transaction or processing fees.

7. Product Warranty

AINX NodeX hardware includes a 13-month limited warranty, covering manufacturing defects. Warranty does not cover:

  • Damage from misuse, neglect, or improper installation
  • Unauthorized modifications
  • Natural wear and tear

To file a warranty claim, contact us at support@ainx.io with proof of purchase, product serial number, and issue description.

8. Limitation of Liability

AINX Inc. shall not be liable for any:

  • Lost profits, data, or revenues
  • Loss of crypto funds due to wallet misuse
  • Downtime of blockchain networks
  • Loss or delay caused by shipping carriers

Total liability is limited to the amount you paid for the affected Product.

9. Indemnification

You agree to indemnify and hold harmless AINX Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, or losses arising out of:

  • Your misuse of the Products
  • Violation of these Terms
  • Noncompliance with applicable local crypto, import, or product laws

10. Governing Law & Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

10.2 Arbitration

Any dispute, controversy, or claim arising out of or in connection with these Terms (including any question regarding its existence, validity, or termination) shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the SIAC for the time being in force, which rules are deemed to be incorporated by reference in this clause.

  • The seat of arbitration shall be Singapore.
  • The tribunal shall consist of one arbitrator.
  • The language of arbitration shall be English.

10.3 Waiver of Class Actions

You agree to resolve any disputes with AINX individually and not as part of a class, consolidated, or representative action.

11. Changes to These Terms

AINX may update these Terms at any time. Changes will be effective once posted to the Site. Continued use of our purchase flow constitutes acceptance of the updated Terms.
